The City Corporate Governance and Remuneration Summit

March 30th 2010

Financial institutions are facing an onslaught of corporate governance and remuneration initiatives at the present time. The FSA's corporate governance agenda covers a variety of different areas and forms part of its broader 'intensive supervision' approach that it has adopted in the aftermath of the credit crisis. Following publication of the Walker Report at the end of last year, attention is turning to its implementation. Similarly, the changes to the Combined Code now need to be implemented. Linked to this, a Stewardship Code is being formulated in order to encourage better oversight by institutional investors.

In addition, there are a number of strands of work at the G20 and EU level that are being taken forward, not to mention the fact that institutional shareholders are becoming more 'activist' in response to the pressure put upon them.

City & Financial is therefore organising this highly topical conference in order to provide financial institutions with a comprehensive guide as to what is in the pipeline and how it will impact them. We are delighted that Nicholas Anstee, the Lord Mayor, and Sally Dewar, Managing Director of Risk at the Financial Services Authority, will give the keynote addresses.

Among the topics that will be addressed are the following:

  •  The impact of the FSA's own broad corporate governance agenda, including:
- Monitoring remuneration policies
- More intensive vetting of senior management appointments
- Increased scrutiny of the performance of non-executive directors
- A more rigorous significant function regime
- Improved client asset protection
  •   Implementation of the Walker proposals
  •   Implementation of the changes to the Combined Code
  •   Formulation of the Stewardship Code
  •   Improving the standards of corporate governance - getting the balance  right
  •   International developments in the reform of governance and remuneration and their impact on the City's competitiveness
  •   Best practice ethical standards - can the City's culture be changed?
  •   Impact of pay reform on investment banking, asset management and private equity
  •   Effective stewardship and recent proposals for making shareholder engagement more effective

Attendance at this conference will be invaluable for the senior management of: FSA-regulated banks and securities houses; the institutional shareholder community, such as investment management firms, pension funds and insurance companies; and professional advisers.
