The City Code on Takeovers and Mergers 2008

This year, the Takeover Panel celebrates its 40th birthday. Since its inception, the Panel has dealt with around 8,000 published offers and a much greater total caseload. The Code has changed and expanded considerably over time to take account of changing market practice and conditions, but its basic principles, and its ability to react flexibly and promptly to changing circumstances, remain essentially unchanged.

Despite growing economic uncertainty, the level of takeover and merger activity remains high and the Code continues to evolve. In December 2007, for example, we implemented the new Appendix 7 relating to Schemes of Arrangement, to take account of the increasing use of schemes in recommended takeovers and provide greater certainty and transparency in this area. In addition, in March 2008, we issued Practice Statements 20 and 21, relating to Rule 2 and Rule 3 respectively, which addressed matters which have been the subject of considerable debate in recent years.

This timely conference, now a well established event, will be especially useful in providing practitioners with a thorough examination of the Code as a whole, as well as keeping them up to date with the latest regulatory developments.
